Vancouver, BC – March 21, 2012: Altair Ventures Incorporated (“Altair” or the “Company”) (TSX-V: AVX) is pleased to announce that, effective on March 20, 2012, it closed the first tranche (the “First Tranche Closing”) of the private placement first announced on January 16, 2012 (the “Private Placement”).
In accordance with the conditional approval from the TSX Venture Exchange (the “Exchange”), the Private Placement funds allocated for the expenditures committed to the Kena project for 2012 and the associated payments to the optionee, Sultan Minerals Inc. (refer to news release of January 3, 2012) which amount to $1.9 million, cannot be closed until Altair has received final Exchange approval for the Kena project.
Thus, the First Tranche Closing relates to the non-Kena specific portion of the Private Placement. The balance of the proceeds of the Private Placement are reserved for expenditures on the Kena property and, as such, closing on the remainder of the Private Placement remains subject to Exchange final approval of Altair’s acquisition of the Kena property. Exchange final approval of the Kena property option remains subject to its review of the independent National Instrument 43-101 Technical Report in respect of the Kena property which Altair submitted to the Exchange on March 2, 2012.
The Private Placement consists of the sale of up to 12,000,000 Units (the “Units”) at $0.22 per Unit for gross proceeds of up to $2,640,000. The First Tranche Closing consisted of the sale of 3,225,000 Units resulting in gross proceeds to the Company of $709,500. The Exchange has conditionally approved the First Tranche Closing, subject to the filing of final documents. Each Unit consists of one common share (each a “Share”) and one-half of a common non-transferable share purchase warrant (each full warrant a “Warrant”).
Each Warrant will entitle the holder to purchase one additional Share for $0.33. All of the Warrants are exercisable for a period of twelve months from the closing date subject to the right of the Company to accelerate the expiry of the Warrants, if, during the term of the Warrants, the common shares of the Company close at a price at or above $0.45 per share for more than 20 consecutive trading days.
The Shares and any Shares issuable upon the exercise of the Warrants issued pursuant to the First Tranche Closing are subject to a four month hold period expiring on July 21, 2012. The net proceeds of the First Tranche Closing will be used by Altair to fund expenditures on its Lobstick property in Ontario (refer to news release of October 31, 2011) and for general working capital purposes.
